As a business broker with Canada Business Sales, I've sold more than $11 million in business assets across nine separate companies in the Greater Toronto Area over an eighteen-month run that ended when COVID-19 froze the M&A market in early 2020. That is a completed transaction roughly every two months, at an average deal size of approximately $1.2 million.

Selling a privately held company is the hardest B2B sale there is. The product is confidential, the buyer pool is small and heavily qualified, the seller is emotional, the financing is conditional, and the transaction dies at any one of a dozen points between the first conversation and the closing table. Nine of them closed.

Every stage, owned end to end

1. Mandate origination

Prospected and won listing mandates from owner-operators across the GTA, cold outreach, referral networks, accountants and lawyers. Then earned the exclusive right to represent the sale.

2. Business valuation & pricing

Normalized financial statements, recast owner discretionary earnings (SDE/EBITDA), applied comparable multiples and set a defensible asking price the market would actually pay.

3. Confidential marketing package

Built the blind profile and confidential information memorandum (CIM) that told the business's story without exposing the seller's identity to staff, customers or competitors.

4. Buyer qualification

Screened inbound buyers for financial capacity, industry fit and seriousness before releasing anything, NDAs executed, proof of funds verified, tire-kickers filtered out.

5. Negotiation & letter of intent

Managed offer negotiation, price, structure, deposits, non-competes and transition terms. Then held both parties to the LOI while the deal moved forward.

6. Due diligence management

Coordinated accountants, lawyers, lenders, landlords and franchisors through the diligence period, resolving the disclosures, lease assignments and financing conditions that kill most transactions.

7. Financing & closing

Worked alongside lenders and BDC/SBA-style acquisition financing, managed conditions to closing, and got signatures and funds across the table.

8. Transition & handover

Structured the vendor training period and operational handover so the buyer took over a functioning business and the seller actually got paid out.

Owners handed over their financial statements and their exit plans. Nothing leaked to staff, customers or competitors. That standard of discretion transfers directly to executive operations.

The run ended in Q1 2020 when COVID-19 closed the private-company transaction market overnight, buyer financing evaporated, in-person diligence became impossible and live deals were suspended industry-wide. The track record stands on its own.
